RESIDENT AGENT DUTIES
What is a resident agent (also referred to as registered agent, statutory agent or corporate agent), and why do I need one?
A resident agent is a person or entity, designated in the articles of incorporation / organization, who can accept legal documents and notifications from a state office on behalf of a corporate entity. Virtually all U.S. corporations and Limited-Liability Companies (LLCs) are required to name a person or entity to act as their resident agent. There are few restrictions regarding who can be a resident agent other than that the person or entity must be located and available at a physical street address within the state during normal business hours. The restrictions and definitions vary somewhat by state, so you are encouraged to check with the specific restrictions of your state(s). A good resource is www.registeredagentinfo.com.

Each state requires that a resident (or registered) agent be identified and located in the state of incorporation and any states where business is conducted. The resident agent's job is to accept service to process (i.e., notice of a lawsuit) and other official notices and to deliver them to the client in a timely manner.

How can I choose the best resident agent for my company?
A good site to consult is Registered-Agent-Information.com. Users from each state can input their good or bad reviews of state registered agents. Agents are also sorted by price on this site.
