Why Alabama requires a resident agent
Your Alabama resident agent can be an individual who lives in the state, or an entity formed in Alabama or a foreign entity registered to transact business there. Its business office has to share one street address with your registered office, and since Act 2026-495 took effect on August 1, 2026, the agent may not handle its duties only through a mail forwarding service or a virtual office. Your registered office has to be a street address in Alabama at which the agent can be personally served, and a mailbox service or telephone answering service by itself will not do. Ala. Code § 10A-1-5.31(b)-(c) (as amended by Act 2026-495, effective Aug. 1, 2026)
What happens if you lapse
- When a foreign entity spends 60 days or more with no resident agent or registered office in Alabama, or lets 60 days pass without filing a statement of change, the Secretary of State may revoke its registration, ending its authority to transact business on the date the certificate of revocation shows (10A-1-7.13(c)). Ala. Code § 10A-1-7.12(2)-(3)
- A foreign filing entity that never registers, a failure the statute pairs with not appointing and keeping a resident agent, cannot bring or keep up a lawsuit or proceeding in an Alabama court before it registers, although its contracts remain valid and it keeps the right to defend. Ala. Code § 10A-1-7.22(a)
