Why South Dakota requires a resident agent

South Dakota's filing entities all fall under SDCL ch. 59-11, the Model Registered Agents Act, and when the state adopted it, the agent sections of the business corporation act (47-1A-501 to 47-1A-504) were repealed. You can name a noncommercial resident agent, meaning an individual or an entity, domestic or foreign, serving as agent in SD (§ 59-11-2(15)), a commercial resident agent on the SOS list under § 59-11-7, or whoever holds an office or position with your entity. Every filing must give an actual SD street address or rural route box number (§ 59-11-5). SDCL § 59-11-6

What happens if you lapse

  • A domestic corporation that goes 60 days or more with no resident agent, or lets 60 days pass without reporting an agent change or resignation to the SOS, may be dissolved administratively after notice and 60 days to cure (§ 47-1A-1421). SDCL § 47-1A-1420(3)-(4)
  • A foreign corporation that has gone 60 days or more without an SD resident agent, or has not filed notice within 60 days that its agent changed or resigned, faces revocation of its certificate of authority. SDCL § 47-1A-1530(3)-(4)
  • To reinstate a corporation after administrative dissolution you pay $300 plus the delinquent annual-report fees and penalties and provide a Department of Revenue tax-clearance certificate (§ 47-1A-1422). SDCL § 47-1A-122(17)
  • An LLC reinstating after administrative dissolution pays $150 and the delinquent annual-report filing fees. SDCL § 47-34A-811(a)
  • A foreign corporation that operates in SD with no certificate of authority, as after revocation, is barred from maintaining a proceeding in an SD court until it gets one. SDCL § 47-1A-1502
  • A foreign corporation that does business in SD with no certificate of authority owes a $100 civil penalty for each day, capped at $1,000 in a year. SDCL § 47-1A-1502.2
  • An administratively dissolved corporation keeps existing but can do nothing beyond winding up and liquidating, and the agent's own authority does not end. SDCL § 47-1A-1421
