Your New Hampshire corporation must keep a registered office and resident agent without interruption, and the agent must be an individual NH resident, or an LLC (RSA 304-C), an LLP (RSA 304-A:44) or a corporation (RSA 292/293-A/294-A) that is organized or authorized in NH, and in either case the agent's business office must match the registered office. What happens if you lapse

  • A corporation can be dissolved administratively after 60 days or more lacking a resident agent or registered office, or for not telling the secretary of state within 60 days about a change, resignation, or discontinuance of its agent or office, and the LLC act uses the identical grounds (RSA 304-C:136, III-IV). RSA 293-A:14.20(a)(3)-(4)
  • After administrative dissolution the corporation still exists but can do no business except winding up and liquidating, and before dissolving it the SOS allows 60 days after notice to cure. RSA 293-A:14.21(b)-(c)
  • Protection for the dissolved corporation's name lasts only 120 days from the notice of administrative dissolution, and once that period ends, the name is open to another entity even without the dissolved corporation's consent. RSA 293-A:14.21(e)
  • Reinstating within 3 years costs $135 for the application for reinstatement following administrative dissolution, while a late reinstatement after 3 years calls for a court-style showing plus publication and a $500 fee, and LLC fees are the same ($135 and $500, RSA 304-C:191, II(f)).
