Why Utah requires a resident agent
Every Utah entity type is governed by ch. 16-17, the Model Registered Agents Act, under which corporations and LLCs designate agents (Utah Code 16-10a; 48-3a-111). Your agent can be a listed commercial resident agent, whoever holds a designated office or position within your entity, or a noncommercial resident agent, which the chapter defines as an individual or entity, domestic or foreign, serving in Utah. Each resident agent filing must give an actual Utah street address (Utah Code 16-17-202), and the chapter adds no express residency or authorized-to-transact-business restriction beyond it. What happens if you lapse
- A Utah corporation that goes 30 days or more with no resident agent, or lets 30 days pass without telling the Division that its agent changed or resigned, faces administrative dissolution after notice and a 60-day cure window. Utah Code 16-10a-1420(3)-(4); procedure at 16-10a-1421
- An LLC can be dissolved administratively after going 60 consecutive days without a resident agent, with 60 days to cure after notice. Utah Code 48-3a-708(1)(c)
- A foreign corporation that has gone 30 days or more lacking a resident agent, or has let 30 days pass without reporting that its agent changed or resigned, may lose its authority to transact business. Utah Code 16-10a-1530(3)-(4); procedure at 16-10a-1531
- A registered foreign LLC can have its registration terminated if it has no resident agent, or if 30 days pass after the agent's name or address changes with no statement of change filed, subject to a 60-day effective-date and cure window. Utah Code 48-3a-910(1)(c)-(d)
- Transacting business without authority keeps a foreign LLC or foreign corporation from maintaining a proceeding in a Utah court until it files for authority or registers. Utah Code 16-10a-1502(1); 48-3a-902(2)
- A foreign corporation doing business without authority owes $100 for each day, capped at $5,000 in a year, any officer or agent who approves or carries out that business faces a penalty of up to $1,000, and a court shall also enjoin further business. Utah Code 16-10a-1502(4)-(5)
- Reinstatement after administrative dissolution requires paying every fee, tax, interest charge, and penalty due at dissolution and everything that would have come due while dissolved; the statute states no dollar amount, and a corporation must also supply its new resident agent's written consent.
