Why Nevada requires a resident agent

Your Nevada corporation (and, by parallel provisions, your LLC) needs a resident agent living or located in Nevada whose street address is the registered office. Under NRS ch. 77 (the Model Registered Agents Act) a noncommercial resident agent can be an individual or an entity, domestic or foreign, serving in the state, or the entity can name whoever holds an office or position in it (NRS 77.310(1)(b)(2)). Serving 10 or more entities requires registration as a commercial resident agent (NRS 77.320(1)), and registrants attest to having no unrestored felony convictions (NRS 77.320(2)(e)). What happens if you lapse

  • A corporation that fails or refuses to meet the resident agent and registered office requirement faces a fine of $100 to $500, which the State recovers through the Attorney General or a district attorney. NRS 78.090(3)
  • When the resident agent resigns or terminates and no statement of change naming a replacement is filed before the effective date, the corporation is treated as in default and falls under NRS 78.170 and 78.175, the default and charter-revocation provisions, and the LLC act works the same way (NRS 86.251(2), which invokes NRS 86.272 and 86.274). NRS 78.097(2)
  • A corporation in default owes a $75 penalty on top of the fee. NRS 78.170(3)
  • If the corporation stays in default, Nevada revokes the charter and forfeits the corporation's right to transact business on day one of the first anniversary of the month after the month the filing was due, and its directors then hold the assets in trust as they would for an insolvent corporation. NRS 78.175(2), (5)
  • Reinstatement means filing the delinquent annual list and current resident agent information (NRS 77.310) and paying all back fees and penalties plus a $300 reinstatement fee, but once a charter has been revoked for 5 consecutive years, reinstatement is no longer possible. NRS 78.180(1)(b)(3), (4)
  • If another entity legally reserved or acquired the corporation's name during revocation, the corporation has to reinstate under a different name unless the other party consents in writing. NRS 78.185(1)
