Why Missouri requires a resident agent
In Missouri a corporation's resident agent can be an individual who lives in Missouri or a corporation holding authority to transact business in Missouri, and in either case its business office must be identical with the registered office. Under RSMo 347.030.1(2) the LLC Act follows suit, allowing a Missouri resident individual or a corporation, domestic or foreign, with authority to do business in the state, and it adds that the Secretary of State may serve as an LLC's resident agent only as the statute provides. What happens if you lapse
- A corporation that has gone 30 days or more with no resident agent or registered office, or has let 30 days pass without reporting a change, resignation or discontinuance to the Secretary of State, may be dissolved administratively after notice and a 60-day cure window. RSMo 351.484(5)-(6); procedure at RSMo 351.486
- Officers and directors face personal liability: one who conducts business for a corporation after its administrative dissolution, beyond winding up, is personally liable for the obligations incurred that way. RSMo 351.486.3
- If an LLC fails to keep a resident agent, the Secretary of State can cancel its articles of organization, and the cancellation takes effect 30 days after written notice; separately, the LLC may appeal to circuit court, and rescission is available once it cures. RSMo 347.183(2)-(3)
- Reinstating an administratively dissolved corporation takes a $50 reinstatement fee, every delinquent fee, penalty and accrued charge, and a tax clearance certificate from the Department of Revenue, while an LLC reinstating after administrative cancellation of articles whose duration has expired pays a $100 fee (RSMo 347.183(6)).
