Why North Dakota requires a resident agent
North Dakota adopted the Model Registered Agents Act for all entities (N.D.C.C. ch. 10-01.1). Your agent can be commercial, listed with the SoS for a $1,000 listing fee, or noncommercial, and either kind must be an individual living in ND or a corporation or LLC, domestic or foreign. The registered office is just the agent's in-state address and does not have to be where the entity does business. N.D.C.C. § 10-01.1-02(2), (19), (32); § 10-19.1-15; § 10-32.1-16
What happens if you lapse
- The Secretary of State may involuntarily dissolve a corporation that fails to appoint and keep a resident agent and registered office, after at least 60 days of mailed notice with no cure, and the corporation's existence ends when those 60 days expire; LLCs face involuntary termination under § 10-32.1-90(1)(a)(1)(b). - A foreign corporation that fails to appoint and keep a resident agent and registered office may lose its certificate of authority after 60 days notice without a cure, at which point its authority to transact business ends; the foreign LLC counterpart is § 10-32.1-90(2)(a)(1)(b). - Within one year of a corporation's involuntary dissolution, or of revocation of a foreign corporation's authority, you can reinstate by filing the past-due annual report and paying every filing and late fee plus a $135 reinstatement fee, the same $135 that the LLC schedule charges. - Once notice of a resident agent failure goes out, a report of change, filed with its fee, restores the entity to good standing, and until then the Secretary of State will accept no filing for it other than those incident to dissolution or withdrawal. N.D.C.C. § 10-19.1-146.1(3)
