Why Oregon requires a resident agent

Your Oregon corporation must keep a resident agent and registered office at all times, at a physical street address where someone can personally serve process, and that office may not be a virtual office, a mail forwarding business, or a commercial mail receiving agency. The agent must be an Oregon-resident individual, a domestic nonprofit corporation, professional corporation, LLC or corporation, or an authorized foreign equivalent, and each needs a business office matching the registered office. ORS 63.111 is the parallel LLC provision. ORS 60.111

What happens if you lapse

• A corporation can be dissolved administratively for having no resident agent or registered office, or for not telling the Secretary of State about a change, resignation, or discontinuance of its agent or office, after written notice and 45 days to cure (ORS 60.651(2)), with the LLC parallel at ORS 63.647. ORS 60.647(4)-(5)
• Oregon can take away a foreign corporation's authority to transact business there when it fails to appoint or keep a resident agent or registered office, or does not tell the Secretary of State about agent or office changes under ORS 60.724 or 60.727. ORS 60.737(4)-(5)
• An administratively dissolved corporation still exists but may do nothing except wind up, it has five years from dissolution to apply for reinstatement, and reinstatement relates back as though dissolution never happened; the chapter states no reinstatement fee amount. ORS 60.651(3); ORS 60.654(1), (3)
