Why Kentucky requires a resident agent

Kentucky's Business Entity Filing Act (KRS ch. 14A) governs resident agents for all entity types. Your agent must be a Kentucky resident individual, or an entity, including a foreign entity, that is qualified to transact business in Kentucky, and either way the agent's business address must be identical with the registered office. Old-act limited partnerships, rural electric or telephone cooperatives, and general partnerships other than LLPs are exempt (KRS 14A.4-010(4)-(7)). KRS 14A.4-010(1)(b)

What happens if you lapse

  • An entity that has gone 60 days or more without a registered office or resident agent, or has not told the Secretary of State within 60 days about a change, discontinuance, or resignation of its agent or office, can be dissolved administratively, though it first gets 60 days after notice to cure (KRS 14A.7-020(2)). KRS 14A.7-010(1)(b)-(c)
  • A foreign entity's certificate of authority can be revoked by Kentucky's Secretary of State after 60 days or more with no registered office or resident agent, or for not following the change-of-agent statute, subject to 60 days of notice and cure (KRS 14A.9-080(2)). KRS 14A.9-070(2)-(3)
  • Reinstatement after administrative dissolution means paying the reinstatement penalty ($100, KRS 14A.2-060(1)(j)) and the current fee for each delinquent annual report ($15 apiece, KRS 14A.2-060(2)(a)), and supplying a Department of Revenue tax-clearance certificate plus, for business corporations, an unemployment-insurance clearance. KRS 14A.7-030(1)(g)
  • A foreign entity doing business in Kentucky with no certificate of authority, for example after revocation for not keeping an agent, cannot keep a proceeding going in any Kentucky court until it obtains one. KRS 14A.9-020(1)
  • Such an entity also owes a civil penalty of $2 per day for every day it transacts business without authority. KRS 14A.9-020(4)
  • When a foreign entity's certificate of authority is revoked, the Secretary of State becomes its resident agent for proceedings on any cause of action that arose during its authorized period. KRS 14A.9-080(4)
