Why Kansas requires a resident agent

Kansas uses the term resident agent, and its Business Entity Standard Treatment (BEST) Act makes every covered entity keep one: the entity itself, a Kansas resident, a domestic business trust, LLC, LLP, LP or corporation, or a foreign entity of one of those kinds that is authorized to do business in Kansas. A domestic entity acting as agent needs good standing and a generally open business office identical with the registered office. An individual agent has to be at a designated Kansas location, generally present often enough to accept service of process (K.S.A. 17-7925(b)). K.S.A. 17-7925(a)-(b)

What happens if you lapse

  • When the resident agent dies or leaves the registered office and no new agent is designated within 30 days, the Secretary of State may, after 30 days notice, declare the public organic document of the entity forfeited. K.S.A. 17-7926(b)
  • If the resident agent resigns with no successor and 60 days pass after the resignation filing without a new designation, the entity's organizing documents shall be declared forfeited by the Secretary of State. K.S.A. 17-7929(b)
  • A foreign entity that does not name a new resident agent after its agent dies or moves risks having the Secretary of State declare its authority to do business in Kansas forfeited. K.S.A. 17-7926(b)
  • To revive after forfeiture you file every past-due business entity information report for the preceding 10 years and pay all fees and penalties due; the captured statutes state no dollar amounts. K.S.A. 17-7002(g)
