Why Arkansas requires a resident agent
Arkansas handles resident agents for every entity type through one cross-entity law, the Model Registered Agents Act in Ark. Code Ann. Title 4, ch. 20. Your agent is a noncommercial resident agent, meaning an individual or an entity, domestic or foreign, that serves in this state, or else one of the listed commercial resident agents, and filings must give an actual Arkansas street address or rural route box number. Under the LLC act the agent also needs an Arkansas place of business (4-38-115(c)), and the captured text shows no residency requirement for individuals. Ark. What happens if you lapse
- A corporation that goes 60 days or more with no resident agent, or leaves an agent change or resignation unreported past 60 days, can be dissolved administratively by the Secretary of State after a 60-day cure period following notice (4-27-1421(b)); an LLC with no resident agent for 60 consecutive days can be dissolved the same way (4-38-708(a)(3)). - Corporations and LLCs alike have two years after administrative dissolution to seek reinstatement; an LLC pays every fee, tax, interest charge and penalty that was due or would have accrued while dissolved, and a corporation includes state tax-clearance certificates with its application (4-27-1422(a)(4)). - Your LLC's name opens up to other companies when it is dissolved, administratively or otherwise, and if someone takes that name the company must reinstate under a new one. Ark. Code Ann. § 4-38-708(f)
- A foreign corporation risks revocation of its certificate of authority by the Secretary of State after 60 days or more without a resident agent, or if it does not give notice within 60 days that its agent changed or resigned, and after revocation, service on it goes to the Secretary of State as its agent (4-27-1531(d)); separately, a registered foreign LLC can have its registration terminated for lacking the resident agent 4-38-115 requires or for missing the 30-day deadline to file a statement of change (4-38-910(a)(3)-(4)).
