Why Oklahoma requires a resident agent

Every Oklahoma corporation needs a resident agent: the corporation itself, an Oklahoma resident, a domestic LLC, LLLP, LLP, partnership or corporation, or a foreign entity with authority to transact business in Oklahoma. Entity agents keep a business office matching the registered office open in regular business hours, individuals must generally be present there, and LLCs may use themselves, an individual resident, or a domestic or qualified foreign entity (18 O.S. § 2010(A)(2)). What happens if you lapse

  • When a domestic corporation's agent resigns and no new resident agent is designated within 30 days, the Secretary of State is deemed its resident agent and charges the annual fee set by 18 O.S. § 1142 for serving in that role. 18 O.S. § 1026(B)(2)
  • If a corporation has not paid by September 1 the $100 annual fee owed when the Secretary of State serves as its resident agent, the Oklahoma Tax Commission suspends and forfeits its charter under 68 O.S. § 1212. 18 O.S. § 1142(18)
  • An LLC's articles of organization are deemed canceled if, within 3 years of the due date, it has not filed its annual certificate and paid the annual fee, or has left unpaid the resident agent fee due to the Secretary of State, and 18 O.S. § 2055.1 sends unpaid agent fees into this provision. 18 O.S. § 2012.1(B); see 18 O.S. § 2055.1
  • An LLC that has not filed the annual certificate and paid the fee by 60 days past the due date is no longer in good standing, and until it reinstates the Secretary of State refuses most filings and will not issue it a certificate of good standing. 18 O.S. § 2055.2(D)-(E)
  • Until reinstated, an LLC out of good standing, or a foreign LLC no longer registered, cannot bring or continue an action, suit, or proceeding before any Oklahoma court, though it can still defend actions and its contracts stay valid (18 O.S. § 2055.3(C)). 18 O.S. § 2055.2(F)
  • To reinstate an LLC, even one whose articles were canceled under § 2012.1(B), you file every delinquent annual certificate, pay any delinquent resident agent fees or annual certificate fees, and submit an application for reinstatement, and a new name may be required if the old one is no longer available. 18 O.S. § 2055.3(A)
