Why Pennsylvania requires a resident agent

Pennsylvania requires no resident agent at all, only a registered office: every LLC (§ 8825(a)) and every business corporation (15 Pa.C.S. § 1507(a)) must keep one in the Commonwealth at all times, and because it may but need not be the place of business, an entity effectively becomes its own agent just by giving its own Pennsylvania address. Instead of an address, an entity may name a Commercial Registered Office Provider (CROP) with a statement on file with the Department of State (§ 109). The same registered-office duty applies to registered foreign associations (§ 411(f)). 15 Pa.C.S. § 1507(a); see also §§ 109, 411(f), 8825(a)

What happens if you lapse

  • Title 15 links administrative dissolution to the annual report rather than the registered office: for reports falling due on or after January 4, 2027, the Department may dissolve a domestic filing entity that has not delivered its annual report within six months of the due date, after notice and 60 days to cure (§ 382(b)), and no dissolution ground for failing to keep a registered office was found. 15 Pa.C.S. § 381(a); § 382
  • The Department may end a registered foreign association's registration, no sooner than 60 days after notice unless cured, if its home jurisdiction has dissolved it, if it does not file a required amendment to its registration, or if it misses its annual report by six months after the due date (for reports falling due on or after January 4, 2027), and a registered-office lapse does not appear among the grounds. 15 Pa.C.S. § 419(a), (d)
  • A foreign LLP or foreign filing association that does business in Pennsylvania without registering, and registration carries the § 411(f) registered-office duty, cannot keep up an action or proceeding before a Pennsylvania court until registered, although the failure leaves its contracts intact and does not stop it from defending. 15 Pa.C.S. § 411(b)
