Why Wyoming requires a resident agent

Chapter 17-28 covers every business entity, foreign or domestic, which § 17-28-101(b) defines to take in LLCs, LPs, LLPs, corporations, nonprofits, cooperatives, and statutory trusts or foundations, and the corporation and LLC acts adopt it (§ 17-16-501; § 17-29-113). The agent is a Wyoming resident 18 or older whose business office matches the registered office, or an authorized foreign or domestic business entity with a written agency agreement naming a natural person for service, and one of them must be physically present at the Wyoming street address. An agent for over 10 entities registers as a commercial resident agent (§ 17-28-105), and agent and entity each keep an e-mail address (§ 17-28-101(e)). Wyo. Stat. § 17-28-101(a)-(b)

What happens if you lapse

  • A corporation may be dissolved administratively when it has no resident agent or registered office, with no waiting period stated, or when it does not tell the Secretary of State within 30 days about an agent change, resignation, or office discontinuance, with a 60-day cure window after notice (§ 17-16-1421(b)), and failing to pay penalties under the resident agent chapter is another, independent ground (§ 17-16-1420(a)(x)).   • If an LLC is left with no resident agent or office, whatever the reason, it is treated as doing business without authority, and if it does not comply within 60 days after notice it is deemed defunct and loses its articles of organization by forfeiture. Wyo. Stat. § 17-29-705(a)
  • A foreign corporation can lose its certificate of authority when it has no resident agent or office, or does not tell the Secretary of State within 30 days that its agent changed or resigned, and § 17-29-114 applies the same revocation and reinstatement process to foreign LLCs. Wyo. Stat. § 17-16-1530(a)(iii)-(iv)
  • As soon as an agent resigns without a successor in place, the entity is marked delinquent by the Secretary of State while administrative dissolution, revocation, or forfeiture is pending. Wyo. Stat. § 17-28-103(f)
  • A corporation dissolved administratively for failing to keep a resident agent has two years to reinstate and must pay $250 as a reinstatement fee along with any delinquent fees and taxes, while a defunct LLC pays the reinstatement fee fixed by rule and a $250 penalty (§ 17-29-705(a)).   • A foreign corporation that does business with no certificate of authority, an application for which must include the agent's written consent (§ 17-16-1503(c)), is barred from maintaining a proceeding in a Wyoming court, foreign LLCs are covered too through § 17-29-114, and an LLC with no agent is expressly deemed to be doing business in the state without authority (§ 17-29-705(a)).   • A foreign corporation doing business without authority is liable for every back fee and license tax, interest at 18 percent, a $5,000 penalty, and the costs of audit and attorney fees; separately, the agent chapter lets the Secretary of State fine resident agents up to $500 per violation per entity (§ 17-28-109(a)), and leaving those penalties unpaid is itself a ground for dissolution or revocation (§ 17-16-1420(a)(x); § 17-16-1530(a)(ix)).
