Why Alaska requires a resident agent
Your Alaska corporation must keep an in-state resident agent and a registered office without interruption, and AS 10.50.055 applies materially identical language to an LLC. The agent can be an individual who lives in Alaska and uses the registered office as a business office, or a corporation, domestic or foreign, with authority to transact business in Alaska and that same office. Both statutes name only individuals and corporations as eligible agents, so LLCs are not on the list; for foreign corporations see AS 10.06.753. What happens if you lapse
- If your corporation or LLC goes 30 days without appointing and keeping a resident agent, or lets 30 days pass after a change without filing a statement of change, the commissioner may dissolve it involuntarily once written notice and a 60-day window to contest or cure have run; when the certificate of involuntary dissolution issues, the entity stops existing, and six months after dissolution others may take its name. - Reinstatement is open only for two years after involuntary dissolution, and where there was cause you must fix the failure and pay twice the delinquent amount plus whatever would have accrued while dissolved, a formula AS 10.50.408(e) repeats for LLCs. - When a foreign corporation does not appoint and keep a resident agent, or its registered office or agent changes and it then files no statement of change, the commissioner may revoke its certificate of authority. Alaska Stat. § 10.06.743(2)-(3)
