Why Nebraska requires a resident agent
For a Nebraska corporation, the resident agent can be an individual living in the state whose business office matches the registered office, or a corporation, domestic or foreign, or another eligible entity whose own business office sits at that same address, and any foreign entity needs authority to transact business in Nebraska. For an LLC, you may name as agent for service of process an individual who is a Nebraska resident, or another person that holds authority to transact business in the state. Neb. Rev. What happens if you lapse
- When a corporation spends 60 days or more with no resident agent or registered office, or goes 60 days without telling the Secretary of State about a change, resignation or discontinuance, it can be dissolved administratively following notice and a 60-day chance to cure, and afterward it exists only to wind up. - A foreign corporation risks administrative revocation of its certificate of authority once it spends 60 days or more with no resident agent or registered office, or goes 60 days without reporting a change, resignation or discontinuance of its agent or office. - A foreign LLC that fails to appoint and keep a Nebraska agent for service of process, or lets 30 days pass after its agent's name or address changes without filing a statement of change, can have its certificate of authority revoked, effective no sooner than 60 days after notice and curable before then. - Reinstating within 5 years requires you to pay every delinquent fee and file a signed biennial report, and an application filed later than 5 years after the administrative dissolution or revocation costs a $500 fee, the same $500 late-reinstatement fee LLCs pay under § 21-192(5).
