Why Illinois requires a resident agent
An Illinois corporation's agent must be an individual who lives in Illinois and whose business office matches the registered office, or a corporation, LLC, LP, or LLP, domestic or foreign, that holds authority to transact business in Illinois and has a statement of purpose allowing it to act as agent. Under the LLC Act (805 ILCS 180/1-35(a)), the agent can be an individual who resides in Illinois or any other person authorized to do business here. 805 ILCS 5/5.05(b)
What happens if you lapse
- A domestic corporation that fails to appoint and keep a resident agent can be dissolved administratively on that express ground, once it has received a Notice of Delinquency and 90 days to cure have passed under 805 ILCS 5/12.40. 805 ILCS 5/12.35(e)
- Illinois LLCs face the same ground: one that does not appoint and keep a resident agent may be dissolved administratively, with 60 days to cure after the notice of delinquency (805 ILCS 180/35-30(b)). 805 ILCS 180/35-25(3)
- Illinois can take away a foreign corporation's authority to transact business there when it fails to appoint and keep a resident agent. 805 ILCS 5/13.50(e)
- If its agent gives notice of resignation, a foreign LLC that does not appoint and keep a resident agent within 60 days may have its admission revoked. 805 ILCS 180/45-35(a)(1)(B)
- When 60 days pass after notice of a resignation and an LLC still has not appointed and kept a resident agent, the LLC is declared delinquent and loses good standing, which brings a $100 penalty, another $100 for every further year it stays delinquent, blocked filings, and a flag marking it not in good standing. 805 ILCS 180/50-15
- Until it obtains authority, a foreign corporation transacting business without it, including after revocation for a resident agent failure, cannot maintain a civil action in Illinois courts, and 805 ILCS 180/45-45(a) is the parallel rule for LLCs. 805 ILCS 5/13.70(a)
- To reinstate after administrative dissolution you file every overdue report, pay the fees, franchise taxes and penalties due at that point, and pay a $200 reinstatement application fee, which is also $200 for LLCs (805 ILCS 180/50-10(b)(12)). 805 ILCS 5/15.10(p)
