Why Indiana requires a resident agent

Indiana's Uniform Business Organizations Code (IC 23-0.5-4) has no residency requirement for the agent, which can be a domestic filing entity, a registered foreign entity, a general partnership, or an individual. Whatever address a resident agent filing states must be an Indiana street address (IC 23-0.5-4-2). IC 23-0.5-4-3(a)

What happens if you lapse

• A domestic filing entity may be dissolved administratively if it has no resident agent for 60 consecutive days, or if it does not tell the Secretary of State within 60 days about an agent change, resignation, or office discontinuance, with a 60-day cure window after notice (IC 23-0.5-6-2). IC 23-0.5-6-1
• Indiana may revoke a registered foreign entity's registration when it has no resident agent, or when the agent's name or address changes and it misses the 30-day deadline for a statement of change, and after revocation service goes to the Secretary of State as its agent (IC 23-0.5-5-11(e)). IC 23-0.5-5-11(a)
• Without registration a foreign entity doing business in Indiana cannot maintain an action or proceeding in the state, which is where it lands once registration is revoked over a resident agent failure. IC 23-0.5-5-2(b)
• A foreign entity that transacts business in Indiana with no certificate of authority is exposed to a civil penalty of up to $10,000, which the attorney general can collect. IC 23-0.5-5-2(f)
• To be reinstated you pay every back fee, tax, interest charge and penalty, obtain the department of state revenue's certificate of clearance, and pay an application fee of $20 electronically or $30 on paper under IC 23-0.5-9-42. IC 23-0.5-6-3(d)
