Why Mississippi requires a resident agent
Mississippi's version of the Model Registered Agents Act is Miss. Code Ann. ch. 79-35, and it applies to corporations, LLCs and other filing entities. Your resident agent is either a noncommercial resident agent, meaning an individual or an entity, domestic or foreign, serving in the state, or a listed commercial resident agent, and resident agent filings must give an actual Mississippi street address, plus an email address when the agent is noncommercial (§ 79-35-5(a)(2)). No residency requirement for individuals is stated, so the operative requirement is the in-state street address. Miss. Code Ann. §§ 79-35-2(13), 79-35-4
What happens if you lapse
- A domestic corporation can be dissolved administratively after notice and a 60-day cure period if it has gone 60 days or more with no resident agent, or has let 60 days pass without telling the Secretary of State that its agent changed or resigned. Miss. Code Ann. § 79-4-14.20(3)-(4); procedure at § 79-4-14.21
- LLCs are treated the same way: after 60 days or more with no resident agent, or a failure to report an agent change or resignation to the Secretary of State within 60 days, an LLC may be dissolved administratively following notice and a 60-day cure period. Miss. Code Ann. § 79-29-821(c)-(d); procedure at § 79-29-823
- Until reinstated, an administratively dissolved corporation cannot bring or continue any action, suit or proceeding in the state's courts, though it may still defend actions (§ 79-4-14.21(e)). Miss. Code Ann. § 79-4-14.21(f)
- Mississippi can revoke the certificate of authority held by a foreign corporation once it has gone 60 days or more without a resident agent, or has let 60 days pass without reporting that its agent changed or resigned. Miss. Code Ann. § 79-4-15.30(3)-(4); procedure at § 79-4-15.31
- If a Mississippi entity is dissolved administratively, or a foreign entity has its authority revoked, because it falsely named a resident agent without that person's consent, reinstatement requires a statement of appointment that its new agent has signed and $250 more in reinstatement fees beyond the ordinary statutory reinstatement fee. Miss. Code Ann. § 79-35-19(2)
