Why Idaho requires a resident agent
Idaho's unified entity code, the Idaho Registered Agent of Entity Act, which is Title 30 ch. 21 part 4, sets no residency requirement for the agent. You can name a commercial resident agent, someone who holds a designated office or position within your entity, or a noncommercial resident agent, which is an individual or an entity, domestic or foreign, acting as agent in Idaho. Every address in a resident agent filing must be an Idaho street address (Idaho Code § 30-21-403). Idaho Code § 30-21-102(29)
What happens if you lapse
- If a domestic filing entity has had no resident agent for 60 consecutive days, or has let 60 days pass without telling the Secretary of State that its agent changed or resigned, it may be dissolved administratively and then continues only to wind up or to apply for reinstatement. Idaho Code § 30-21-601
- The Secretary of State can terminate a registered foreign entity's registration when it lacks a resident agent, or when the agent's name or address changes and 30 days go by without a statement of change on file. Idaho Code § 30-21-511(a)
- Once a registration ends over a resident agent failure, a foreign LLP or foreign filing entity that does business in Idaho is barred from maintaining an action or proceeding in Idaho courts until it is registered. Idaho Code § 30-21-502(b)
- Reinstatement after administrative dissolution is available for up to 10 years and requires paying every back fee, tax, interest charge and penalty, with a $30 application fee set by Idaho Code § 30-21-214(b)(27). Idaho Code § 30-21-603(b)
