Why Michigan requires a resident agent
Michigan's own term is resident agent. A corporation can use a Michigan resident individual, an LLC or corporation that is domestic, or a foreign LLC or corporation holding authority to transact business there, as long as the registered office matches the agent's business office or residence address. The LLC Act follows the same pattern (MCL 450.4207(1)(b)), and an owner who lives in Michigan can act as the agent. MCL 450.1241; see also MCL 450.4207(1)
What happens if you lapse
- Michigan can revoke the certificate of authority held by a foreign corporation for failing to keep a resident agent, an express ground, or for not filing the change statement after changing its registered office or agent, but only after at least 90 days' notice and a default that remains uncured (MCL 450.2042(1)). - A domestic corporation is dissolved automatically 60 days after a 2-year period in which it did not file its annual report or did not pay the filing fee, and the statute does not list a resident agent failure as a ground for dissolving domestic corporations. MCL 450.1922(1)
- Failing, through neglect or refusal, to file a required report or to pay a required fee exposes a corporation to a $10-per-month penalty, capped at $50. MCL 450.1921(1)
- An LLC that goes 2 consecutive years without filing its annual statement (the one reporting its resident agent and registered office), and still has not cured 60 days after notice, loses good standing: it cannot get a certificate of good standing, its name opens up to others, and the administrator will take no filing from it except a certificate of restoration, although the LLC still exists and may keep transacting business. - A dissolved corporation, or a revoked foreign corporation, can renew its existence by filing every missed report and paying all back fees together with the ยง 921 penalties, and an LLC gets back into good standing through a certificate of restoration ($50) filed along with all missed annual statements and fees.
