Why Arizona requires a resident agent
Your Arizona corporation has to keep, at all times, both a resident agent and a known place of business. The agent may be an individual living in Arizona, a domestic corporation, a foreign corporation with authority there, an LLC formed in Arizona, or a foreign LLC with authority there. For an LLC, ARS 29-3115(B) permits the same five categories and requires the agent to have a residence or a place of business in Arizona. Ariz. Rev. Stat. § 10-501 (corporations); § 29-3115(B) (LLCs)
What happens if you lapse
- Going 60 days or more with no resident agent or known place of business, or waiting more than 60 days to tell the Arizona Corporation Commission of an agent change or resignation, exposes a corporation to administrative dissolution after a 60-day cure window following notice; an LLC faces the same after at least 60 consecutive days without an agent or a 60-day reporting failure (29-3708(A)(2), (4)). - If six months pass after administrative dissolution takes effect with no reinstatement application from the dissolved corporation or LLC, the commission frees the entity's name for others to use. Ariz. Rev. Stat. § 10-1421(C); § 29-3709(B) (LLCs)
- The commission can take away a foreign corporation's authority to transact business once it has spent 60 days or more with no resident agent or known place of business, or has gone 60 days without reporting an agent change or resignation, and after revocation the commission itself becomes its agent for service of process (10-1531(D)). - Corporations (10-1422(A)) and LLCs (29-3709(A)) both have six years to reinstate, and an LLC pays all fees and penalties owed at dissolution or that would have built up while dissolved, plus a $100 reinstatement application fee, matching the $100 application fee a corporation pays under 10-122(A)(13).
